Profile

Legal rigour, business understanding and coordination across jurisdictions.

Legal rigour, business understanding and coordination across jurisdictions.

Francesca Falbo is a business lawyer with more than twenty years of experience in international trade law, cross-border contracts and corporate transactions. She advises Italian and international businesses, entrepreneurs, shareholders, groups and investors on structuring and negotiating complex commercial relationships, investments, acquisitions and disposals. Her approach combines legal rigour, an understanding of business and the ability to coordinate parties operating in different legal systems.

She is a founding member of LBCT Nexus and the founder of Studio Legale Falbo & Manara. Her professional practice began and developed in private international law, international civil procedure and international commercial law. She has supported Italian businesses in their international expansion and foreign companies in their investments and commercial relationships in Italy, developing particular experience in preventing and managing contractual risks, complex negotiations and the coordination of international teams.

Within LBCT Nexus, she leads the legal work on international and M&A transactions: defining the legal and negotiation strategy, overseeing documentation and coordinating local advisors and other specialists. She ensures consistency between strategy, negotiation and documentation while respecting each professional’s role and responsibilities.

M&A

M&A and corporate transactions

She supports sellers, buyers, investors and minority shareholders throughout the transaction lifecycle: preparation, confidentiality agreements, offers and letters of intent, structuring, due diligence, negotiation and closing. CROSS-BORDER

International contracts and cross-border business

She supports industrial and commercial businesses in establishing and managing international sales and purchases, distribution networks, agency relationships, works and services contracts, subcontracting, procurement, joint ventures, licensing, and transfers of technology and know-how. She coordinates foreign investments, company incorporations and relationships with local partners, bringing together contractual arrangements, applicable law, jurisdiction, taxation and practical enforceability in the countries concerned.

DISPUTES

Litigation, arbitration and debt recovery

She develops pre-litigation strategies and advises clients in domestic and international arbitration and commercial disputes, settlement agreements, debt recovery and cross-border enforcement.
